Data License

This Data License (“Data License”) between you (“you” or “your”) and Renew Capital LLC (“Renew Capital,” “we,” “our,” or “us”) shall govern our use of the data you submit to us. For purposes of this Data License, “you” or “your” refers to both you and your company, as the context requires. This Data License covers data submitted by you about your company and any personal data submitted about yourself or your company’s founders and employees.
Renew Capital is building a database of early-stage companies in Africa. Currently, we use information in this database for our own internal research, to identify trends, insights and patterns that will help optimize our operations, products and services and guide our investment practice. Eventually, we plan to share this database with paid subscribers, who will be able to view information and insights on start-ups and early stage companies throughout Africa. Information disclosed to subscribers may include your company’s name, names and number of founders, sector and industry group, website, company overview, year of incorporation, and information on funding your company has received.
License
Any data, content, text, recordings, information, or other content and materials you input, upload, share, store, integrate with, or otherwise submit or provide to Renew Capital and its affiliates by any means is your “Submitted Data”. For all Submitted Data, you hereby grant Renew Capital a royalty-free, perpetual, irrevocable, and worldwide license to use, process, translate, modify, aggregate, share, copy, reproduce, display, distribute, publish, make derivative works of, and otherwise exploit the Submitted Data for any purpose. Renew Capital has the right to sublicense, transfer or assign such license at its discretion.
Any modifications, corrections, alterations, adaptations, or improvements to the Submitted Data made by or on behalf of Renew Capital and its affiliates, or data created by Renew Capital and its affiliates that is derived from the Submitted Data or which comprises such Submitted Data, is a “Derivative Work”. You acknowledge and agree that Renew Capital shall retain ownership of all intellectual property rights in any Derivative Work from the date that such intellectual property rights arise.
Please note that the Data License is subject to our Privacy Policy to the extent it relates to Submitted Data that is also your personally-identifiable information. You are prohibited from including any sensitive personal information (except where expressly requested by Renew Capital) as part of any Submitted Data.
Submitted Data
- Conform with applicable laws and regulations, especially if personal data is submitted;
- Be complete, accurate, true and not misleading in any way;
- Not contain computer viruses, malware, trojan horses, worms, bots or other software;
- Not infringe on any third party rights or on any other rights preventing the free and unencumbered license to and use of the Submitted Data by us; and
- Be provided in accordance with this Data License.
Representations and Warranties
You represent and warrant that:
- You have all necessary rights, permissions, and authority to provide and grant a license over the Submitted Data to us (in whole and in part) for our use as described hereunder, and that doing so will not put you in violation of any contracts you have signed or any applicable laws; and
- The Submitted Data is true, accurate, and complete.
Indemnity
You shall indemnify and hold harmless Renew Capital from and against any third party claims, costs, liabilities or damages (including legal and other professional fees) which may be caused by or arise from any use of the Submitted Data. All expenses and damages incurred by us in this context shall be borne by you.
Changes to the Data License
We reserve the right to change the terms of the Data Licence, but if we do, we will bring it to your attention by placing a prior notice on the Renew Capital website, by sending you an email, and/or by some other means.
